Terms of Service

These terms govern use of the DuesBoard software and related marketing site. They are a practical contract for a U.S. SaaS product — not legal advice for your association.

1. Who we are and what this covers

DuesBoard (“we,” “us,” “our”) provides web software for homeowners association (HOA) boards and their residents to manage assessments, ledgers, and related board workflows. These Terms of Service (“Terms”) apply when you create an account, subscribe to a plan, invite residents, or otherwise use the DuesBoard application or this marketing site.

By signing up or using the service, you agree to these Terms. If you use DuesBoard on behalf of an association, you represent that you have authority to bind that association.

2. The service (what DuesBoard is — and is not)

DuesBoard is software as a service (SaaS) for self-managed and volunteer HOA boards. Core functions include unit and resident records, assessments, a per-unit ledger, resident payment flows, and (on eligible plans) additional board tools.

DuesBoard is not a bank, payment processor, escrow or lockbox agent, collections agency, certified public accountant, law firm, or property management company. We do not provide legal, tax, accounting, or collections advice. Your board remains responsible for governing documents, assessment amounts, late-fee policies, notices required by law or your CC&Rs, and decisions about past-due accounts.

3. Accounts and board responsibility

Board users create association accounts, import or enter unit data, configure billing rules, and invite residents. You are responsible for the accuracy of data you enter, for who you grant access to, for keeping credentials secure, and for using the product in line with your association’s governing documents and applicable U.S. law.

Residents use the portal only for associations that have invited them. Residents must not attempt to access another unit’s data or misuse payment flows.

4. Plans, fees, and billing

Subscription plans are Starter, Mid-Size, and Community, billed monthly, quarterly, or annually as selected at checkout. Current list prices (USD) are:

  • Starter: $25/mo · $75/qtr · $250/yr
  • Mid-Size: $50/mo · $150/qtr · $500/yr
  • Community: $75/mo · $225/qtr · $750/yr

SaaS subscription fees are charged to the board (or the card/account used at signup) through Stripe. Plan features, unit caps, and pricing may change; we will post updates on the pricing page and, for material changes to an active paid subscription, provide notice as required by law or our checkout terms.

Unless stated otherwise at checkout, subscriptions renew automatically until canceled. You may cancel or change plans through account settings or by contacting us; cancellations take effect at the end of the then-current paid period unless we state otherwise.

5. Resident payments, Stripe Connect, and the 1% platform fee

Resident dues and related charges are processed by Stripe. When the board completes Stripe Connect onboarding, resident payments are intended to settle to the association’s connected bank account — not to a DuesBoard operating balance held as community funds.

On each successful resident payment processed through DuesBoard, we charge a disclosed 1% platform fee on the dues (or charge) amount. That fee is added on top of the amount owed and absorbed by the resident (not deducted from the board’s SaaS subscription). Stripe’s own processing fees apply separately under Stripe’s terms and your Connect settings.

We do not store full payment card numbers. Card and bank payment data is handled by Stripe. Payment metadata (amounts, status, unit linkage, timestamps) may appear in DuesBoard for ledger and reporting purposes.

Refunds, disputes, chargebacks, and ACH returns are governed by Stripe’s rules and your bank/card network. The board is responsible for posting credits or adjustments in the ledger when appropriate.

6. Acceptable use

You may not: (a) use the service for unlawful activity, fraud, or money laundering; (b) scrape, overload, or reverse engineer the service except as allowed by law; (c) upload malware or attempt to bypass security; (d) impersonate others or misrepresent your authority over an association; (e) use DuesBoard to process payments unrelated to legitimate association obligations; or (f) resell access without our written consent.

We may suspend or terminate accounts that violate these Terms or that create risk to residents, associations, payment partners, or the platform.

7. Data, privacy, and third parties

How we collect and use personal data is described in our Privacy Policy. Payment processing depends on Stripe; hosting and analytics may involve other subprocessors listed there. You remain the controller of association and resident records you upload for HOA administration purposes.

8. Intellectual property

DuesBoard owns the software, branding, and documentation. You retain ownership of your association content (unit lists, announcements, documents you upload). You grant us a limited license to host and process that content solely to provide the service.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation, or that the ledger will replace advice from your CPA, attorney, or manager.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUESBOARD AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR SAAS SUBSCRIPTION FEES IN THAT PERIOD, OR (B) ONE HUNDRED U.S. DOLLARS ($100). This limit does not apply where prohibited by law.

Nothing in these Terms limits liability for fraud, willful misconduct, or other liability that cannot be limited under applicable law.

11. Indemnity

You agree to defend and indemnify DuesBoard against claims arising from your association’s content, assessment policies, notices, collections practices, misuse of the service, or violation of these Terms, except to the extent caused by our willful misconduct.

12. Termination

You may stop using the service and cancel your subscription as described above. We may suspend or terminate access for non-payment, Terms violations, legal risk, or discontinuation of the product. Upon termination, your right to access the service ends. We may retain or delete data as described in the Privacy Policy and as needed for legal, tax, or dispute purposes. Export your ledger and documents before canceling if you need offline copies.

13. Changes

We may update these Terms. Material changes will be posted on this page with an updated “Last updated” date. Continued use after the effective date constitutes acceptance, except where applicable law requires additional consent.

14. Governing law

These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules, unless mandatory consumer or other local law requires otherwise for a particular user. Courts in Delaware may hear disputes, subject to applicable venue protections.
